Terms of Service
These Terms of Service (“Terms”) apply when you use the WISEGUYS BUSINESS SERVICES website or engage our business advisory services (“Services”). By using the website, signing an engagement agreement, or accepting a proposal that refers to these Terms, you agree to them. If you do not agree, do not use the website or Services.
“WISEGUYS,” “we,” “us,” and “our” refer to WISEGUYS BUSINESS SERVICES. “You” and “your” refer to the individual or organization using or purchasing the Services. If you accept these Terms for an organization, you confirm you have authority to do so.
1. Services and Engagement Terms
WISEGUYS provides general business advisory services. The specific work, deliverables, schedule, and fees will be described in a proposal, invoice, or written engagement agreement. That document will control if it conflicts with these Terms regarding a specific engagement.
WISEGUYS does not guarantee any particular business, financial, tax, or other outcome. Recommendations are based on the information available at the time and may need to be revisited as your business or circumstances change.
2. No Tax or Legal Advice from WISEGUYS
WISEGUYS does not provide tax advice, legal advice, legal representation, or legal services in any form, whether verbally, in writing, electronically, or otherwise. Our business advisory services are not a substitute for advice from a qualified attorney or tax professional. Do not treat WISEGUYS communications as professional tax or legal advice.
You are responsible for consulting qualified professionals about your specific tax and legal questions before making decisions or taking action.
3. Accounting and Tax Services Provided by Affiliate Partners
Accounting, bookkeeping, tax preparation, payroll, or related professional services may be offered through affiliate partners. Those services are performed by the applicable partner, not by WISEGUYS, and may require a separate engagement agreement. The agreement for those services should identify the provider, scope, fees, and responsibilities.
The affiliate partner is responsible for the professional services it performs, subject to the applicable agreement and law. Nothing in these Terms limits any responsibility or liability of WISEGUYS that cannot legally be limited. The relationship between WISEGUYS, the partner, and the client must be accurately reflected in the applicable engagement documents.
4. Informal Communications
Comments made informally by WISEGUYS personnel—including in a call, meeting, email, text, or other conversation—do not change the written scope of an engagement and are not tax or legal advice. Rely on the applicable written engagement documents for the Services WISEGUYS has agreed to provide. If a communication appears to address a tax or legal issue, consult a qualified professional before relying on it.
5. Your Responsibilities
You agree to provide information and documents that are accurate, complete, and current, and to notify us promptly if they change. You are responsible for reviewing materials we provide, meeting your own deadlines, making business decisions, and obtaining any professional advice you need.
You also confirm that you are at least 18 years old, have authority to enter into these Terms, and will use the Services lawfully.
6. Documents and Deliverables
Unless a written engagement says otherwise, WISEGUYS does not audit, independently verify, or certify information you provide. Any review of your materials is limited to the work expressly described in your engagement.
You are responsible for reviewing deliverables for accuracy and completeness and for deciding whether they suit your needs before using or sharing them. WISEGUYS does not promise that a document or recommendation will produce a particular result or meet requirements that were not included in the agreed scope.
7. Fees, Payments, and Expenses
You agree to pay the fees and expenses stated in your proposal, invoice, or engagement agreement. Any applicable taxes, government charges, or third-party costs will be disclosed where relevant. Payment deadlines and any installment arrangements will be stated in the applicable billing documents.
If a payment is overdue, WISEGUYS may pause work after providing any notice required by law or the engagement agreement.
8. Thirty-Day Refund Period
WiseGuys offers a thirty (30) calendar day money-back guarantee only on eligible initial payments. WiseGuys strongly encourages clients to actively use the Services within the first thirty (30) days after purchase so that both parties can determine whether the Services are a good fit. For eligible annual, bi-annual, one-time, prepaid, and initial cost-of-service fees, fees are up to ninety percent (90%) refundable only within thirty (30) calendar days from the initial purchase date, less Services rendered. WISEGUYS retains a minimum ten percent (10%) of eligible annual, bi-annual, one-time, prepaid, and initial cost-of-service fees to cover onboarding, setup, administrative work, processing, and other initial costs. After thirty (30) calendar days from the initial purchase date, annual, bi-annual, one-time, prepaid, and initial cost-of-service fees are non-refundable except where required by law or expressly approved in writing by WISEGUYS.
9. Electronic Communications and Signatures
You agree that we may send service-related notices and documents electronically, including by email. Where permitted by law, electronic signatures and records may be used for agreements with WISEGUYS. This does not authorize WISEGUYS to sign documents on your behalf or submit filings for you unless a separate written authorization expressly allows it.
You may contact us to ask about receiving paper records. A request may affect how quickly we can provide certain Services.
10. Text Messages
If you separately opt in to receive text messages, message frequency may vary and message and data rates may apply. Consent to marketing texts is not a condition of purchasing Services. You may opt out by replying STOP or request help by replying HELP to (INSERT PHONE NUMBER HERE). Your carrier may delay or fail to deliver messages. Text-message consent and opt-in records should be managed in accordance with applicable law.
11. Website and Content
The website and its materials are provided for your personal or internal business use. Unless we give written permission, you may not copy, sell, republish, or distribute our original website content, reports, templates, or other materials, except for materials provided to you for use under your engagement.
You retain ownership of materials you provide to us. You authorize WISEGUYS to use those materials as reasonably necessary to perform the Services, subject to any confidentiality obligations in your engagement agreement.
12. Third-Party Services
The website or Services may refer you to third-party websites, software, payment services, or providers, including affiliate partners. Those third parties have their own terms and privacy practices. WISEGUYS does not control third-party services, and your use of them may be governed by separate agreements. This section does not waive any responsibility WISEGUYS may have under applicable law.
13. Privacy
Our handling of personal information is described in our Privacy Policy: [INSERT PRIVACY POLICY LINK]. Please review it before using the website or Services. Do not publish this reference until the Privacy Policy is available at the linked address.
14. Service Availability and Disclaimers
The website and general informational materials are provided on an “as available” basis. We do not promise that the website will always be available, uninterrupted, or error-free.
Except for commitments expressly stated in a signed engagement agreement, and to the extent permitted by law, WISEGUYS disclaims implied warranties concerning the website and general informational content. Nothing in this section removes a service obligation or legal protection that cannot lawfully be disclaimed.
15. Limitation of Liability
To the extent permitted by law, WISEGUYS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities arising from use of the website or Services.
To the extent permitted by law, WISEGUYS’s total liability for claims arising from a specific engagement will not exceed the fees you paid to WISEGUYS for that engagement during the 12 months before the event giving rise to the claim. These limits do not apply to liability that applicable law does not allow the parties to limit.
16. Responsibility for Claims
To the extent permitted by law, you agree to reimburse WISEGUYS for reasonable losses and expenses arising from your unlawful use of the Services, your material breach of these Terms, or materials you provide that infringe another person’s rights. This does not apply to the extent a claim results from WISEGUYS’s own conduct or from liability that cannot legally be shifted to you.
17. Suspension and Ending Services
Either party may end an engagement as allowed by its written terms and applicable law. WISEGUYS may suspend website access or pause Services when reasonably necessary to address security concerns, suspected unlawful activity, nonpayment, or a legal requirement. We will provide notice where required.
Ending an engagement does not cancel fees already owed for work performed or expenses incurred, subject to the applicable agreement and law.
18. Events Outside Our Control
WISEGUYS is not responsible for a delay caused by circumstances beyond its reasonable control, such as severe weather, natural disasters, government action, widespread outages, labor disruptions, or failures of third-party systems. We will take reasonable steps to resume affected Services.
19. Governing Law and Disputes
These Terms are governed by Florida law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes relating to these Terms will be brought in a court with jurisdiction in Manatee County, Florida. This section does not take away rights that cannot legally be waived.

21. Changes and General Terms
We may update these Terms by posting a revised version with a new effective date. Changes apply prospectively, subject to applicable law. If you continue using the website or Services after an update takes effect, you accept the revised Terms.
If a provision is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A delay in enforcing a provision does not waive the right to enforce it later.
